Welcome to Mercia AI. These Terms and Conditions govern your use of our website and services. By accessing or using Mercia AI (“we,” “us,” or “our”), you agree to these terms. If you do not agree with any part of these terms, please do not use our services.

2. Services Provided
Mercia AI provides consulting services, training, and advice related to artificial intelligence, automation, data analysis, and Python programming. Services are delivered online (via platforms such as Zoom or Teams) or through correspondence as agreed.
3. Use of Website
You agree to use our website only for lawful purposes.

You must not use our website to distribute harmful software, spam, or engage in activities that disrupt our website’s functionality.
4. Payment Terms
Payments for services are due upon receipt of an invoice unless otherwise agreed.

Payments are accepted via bank transfer, PayPal, or other methods specified at the time of engagement.
Late payments may incur a 5% monthly surcharge.
5. Cancellations and Refunds
Cancellations:

Services may be canceled up to 48 hours in advance without penalty.

Cancellations within 48 hours of the agreed service date may incur a fee equivalent to 50% of the agreed service fee.

If the service is scheduled to be performed within 14 days of purchase, the client acknowledges and agrees that they waive their statutory cooling-off period for cancellations under the UK Consumer Contracts Regulations 2013.
Refunds:

Refunds for unsatisfactory services will be considered on a case-by-case basis.

Refund requests must be made within 7 days of service delivery.
5a. Minimum Age Requirement for bookings
1. Age Restrictions
1.1 You must be at least 18 years old to book and participate in any paid online sessions with Mercia AI. By booking a session, you confirm that you meet this age requirement.
1.2. If you are under 18 years old but at least 16 years old, you may book a session only with the consent of a parent or legal guardian, who must review and agree to these Terms and Conditions on your behalf.
1.3. If you are under 16 years old, you cannot book a session independently. A parent or legal guardian must complete the booking process and attend the session with you, unless otherwise agreed in writing by Mercia AI.

2. Parental Responsibility
2.1. If you are booking a session on behalf of a minor (under 18), you confirm that you are their parent or legal guardian and take full responsibility for their participation.
2.2. Mercia AI reserves the right to cancel or refuse service if we suspect that a booking was made in violation of this Age Requirement Policy.

3. Data Protection for Minors
3.1. Mercia AI does not knowingly collect, process, or store personal data of individuals under 13 years old without explicit parental consent, in accordance with UK GDPR and the Children's Code.
3.2. If we become aware that we have inadvertently collected personal data from an individual under 13 years old, we will take reasonable steps to delete such data unless we have verifiable parental consent.
6. Intellectual Property
All content, materials, and intellectual property provided by Mercia AI remain our property unless explicitly transferred.

You may not reproduce, distribute, or share our materials without prior written consent.
6.5. Insurance
Professional Indemnity Insurance - Mercia AI carries Professional Indemnity cover for its consulting, training and content-creation services.
Important: this insurance excludes claims brought in, or subject to the laws of, the United States or Canada. Policy details are available on request.
7. Confidentiality
Both parties agree to maintain confidentiality for any sensitive or proprietary information shared during engagements.

Exceptions apply if required by law or with explicit written permission.
7.5. AI-Generated Visual Content (Images & Video)
7.5.1 Tools Used
All images and videos supplied under the “Visual Intelligence” services are produced with paid, commercial-licence versions of:
(a) OpenAI’s gpt-image-1 model (ChatGPT 4o) for still imagery;
(b) OpenAI’s Sora (beta) for short-form video; and
(c) Kling AI for cinematic images and video.
7.5.2 Ownership & Licence
Upon full payment Mercia AI assigns to the Client a worldwide, non-exclusive, perpetual licence to use the delivered outputs for any lawful commercial purpose.
The Client acknowledges that:
(i) OpenAI and Kling each reserve a limited right to display or use the outputs (and inputs) for research, development and marketing in accordance with their own terms; and
(ii) identical or similar outputs may be generated for third parties by virtue of the probabilistic nature of generative AI.
7.5.3 AI Origin Disclosure
The Client agrees that, where a reasonable audience might be misled by omission, they will disclose that the content was created using generative-AI tools.

7.5.4 Client Warranties
The Client warrants that any text, images, logos or other material it provides:
(a) are owned by the Client or licensed for this purpose; and
(b) do not infringe any third-party intellectual-property, privacy or publicity rights.

The Client indemnifies Mercia AI against all costs, losses or claims arising from a breach of this warranty.

7.5.5 Content Restrictions
Mercia AI will refuse or revise prompts that violate OpenAI or Kling usage policies, including content that is: illegal, sexually exploitative, extremist, defamatory, or otherwise disallowed.
7.5.6 Watermarks & Metadata
Outputs generated using OpenAI Sora (currently a beta service) may contain automatic C2PA metadata and/or system watermarks that must not be removed. All deliverables provided to the Client will be generated on paid, watermark-free tiers unless otherwise agreed in writing.
7.5.7 Review & Approval
The Client is responsible for carrying out all legal, regulatory and brand compliance checks before publication. Approval of the final files constitutes acceptance of the work and its fitness for the Client’s intended purpose.
7.5.8 Limitation of Liability (Generated Content)
Mercia AI’s aggregate liability for any claim arising out of or in connection with AI-generated content shall not exceed the total fee paid for the specific deliverable giving rise to the claim.
8. Limitations of Liability
Mercia AI provides services "as-is" without guarantees of specific outcomes.

We are not liable for indirect, consequential, or incidental damages resulting from the use of our services or website.
9. Client Responsibilities
You agree to provide accurate and complete information to facilitate our services.
You are responsible for ensuring that you have the necessary systems and software to participate in virtual meetings or training sessions.
10. Termination
Either party may terminate the agreement for services with written notice.
Termination does not absolve you of payment obligations for services already delivered.
11. Changes to Terms
We may update these terms periodically. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of updated terms.
12. Governing Law
These terms are governed by, and shall be construed in accordance with, the laws of England and Wales.
The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms.
